Tax Tip #344: Mid-Year Entity Conversion Tax Implications

Converting a sole proprietorship to an LLC mid-year does not trigger a taxable event (single-member LLCs are disregarded). However, converting an LLC to an S-corp or a partnership to an S-corp can have significant tax consequences. S-corp elections should be filed by March 15 (Form 2553) for the current tax year. Late elections may be granted with reasonable cause.
